Elan offers Tysabri dividend, dismisses Royalty offer

DUBLIN (Reuters) - Irish drugmaker Elan has sweetened the terms on offer to shareholders under its $3.25 billion disposal plan, as it aims to stave off an approach for the company from U.S. investment firm Royalty Pharma .

Elan said on Monday it would give shareholders 20 percent of future royalties from multiple sclerosis drug Tysabri, in which it holds a 50 percent interest that it proposes selling to its U.S. partner Biogen Idec .

The Irish group had unveiled the restructuring a month ago, saying it would gain strategic flexibility to buy new assets. It has already said it would also return $1 billion to shareholders.

Those plans were put under question when New York-based Royalty made its $6.6 billion approach last week, but Elan said on Monday most of its shareholders did not view the idea as worth consideration.

Elan Chief Executive Kelly Martin said neither the cash handout to shareholders or the royalty plan were in direct response to Royalty's approach.

"We simply don't view the Royalty indication of interest as credible. The vast majority of our investor base simply don't view Royalty's indication as worthy of any discussion," Martin told Reuters in a telephone interview.

"I wish Royalty well, they can do what they need to do, but we're not in any discussions with them at all on any topic and we don't see any need to have those discussions," Martin said.

The CEO added he was referring to Elan's outside investors and had not discussed the approach with Johnson & Johnson , which owns 18 percent of the group.

Royalty, which buys royalty streams of patented drugs, said last week it had not received a formal response from Elan and planned to spend the next few weeks calling Elan shareholders, according to a source familiar with the offer.

The group's indicative approach, worth $11 per Elan share, could scupper Elan's plans to spend the rest of the proceeds from the Tysabri deal on a series of acquisitions, effectively reinventing itself as a company.

Elan shares were up 1 percent at 11.46 euros by 0538 ET.

POTENTIAL DEALS

Martin dismissed Royalty's criticism that Elan's senior management had little experience making acquisitions. He said potential deals the group was looking at included some assets worth more than $1 billion.

The Tysabri deal should close in the coming month or two, Martin said, adding Elan would provide further clarity on its plans in coming days and weeks.

Once the Tysabri deal closes, the Dublin-based company said shareholders can expect the first of twice-yearly dividend payments on the drug in the fourth quarter of 2013.

In the deal with Biogen, Elan's royalty payments on future Tysabri sales, which rose 8 percent to $1.63 billion in 2012, will be 12 percent for the first year, 18 percent after that, and 25 percent when annual sales rise above $2 billion.

Martin said shareholders would therefore get 5 percent of any income on the drug above $2 billion. Biogen aims to increase patient numbers over time to 100,000 from the 72,700 at the end of last year, a level that would make Tysabri a $2 billion drug.

He added that the group believed that establishing a direct link between shareholders and a drug's cash flow was a unique proposition in an industry where it said biotech group Amgen was alone it paying out a consistent dividend.

"We want to create what we think is a unique company because I think this industry is totally ripe for a completely different approach to how it assesses assets, manages assets and values assets," Martin said.

"I think this industry in some regards is in the stone age as far as how it looks at its business ... This opens up an entire group of new investors."

No-one at Royalty could immediately be reached for comment.

Spending cuts unpopular yet not set to go away

(AP) ? Despite their unpopularity, those deep federal spending cuts look like they'll be around for a while.

There appears to be little in the works to undo the budget cuts, although President Barack Obama is calling lawmakers to cajole them to undo them.

But the Senate's Republican leader Mitch McConnell on Sunday called those cuts modest and House Speaker John Boehner said he isn't sure they will hurt the economy. White House economic adviser Gene Sperling says the pain isn't that bad ? yet.

After months of dire warnings, the deep budget cuts have started taking hold and there's no evidence officials are moving to reverse the $85 billion in reductions.

"This modest reduction of 2.4 percent in spending over the next six months is a little more than the average American experienced just two months ago, when their own pay went down when the payroll tax holiday expired," McConnell said.

"I don't know whether it's going to hurt the economy or not," Boehner said. "I don't think anyone quite understands how the sequester is really going to work."

But Sperling cautioned: "On Day One, it will not be as harmful as it will be over time."

Both parties cast blame on the other for the automatic, across-the-board spending cuts but gave little guidance on what to expect in the coming weeks. Republicans and Democrats pledged to retroactively undo the cuts, but signaled no hints as to how that process would start to take shape. Republicans insisted there would be no new taxes and Democrats refused to talk about any bargain without them.

"That's not going to work," said Sen. Kelly Ayotte, R-N.H. "If we're going to increase revenue again, it's got to go to the debt with real entitlement reform and real tax reform when you actually lower rates. ... I'm not going to agree to any more tax increases that are going to go to increase more government."

Sen. Lindsey Graham, R-S.C., said any tax increases were unacceptable.

"I'm not going to do any more small deals. I'm not going to raise taxes to fix sequestration. We don't need to raise taxes to fund the government," Graham said.

All of this comes ahead of a new, March 27 deadline to deal with the question of funding the government and a debt-ceiling clash coming in May.

Obama has phoned lawmakers but it isn't clear to what end and the White House would not say whom Obama is calling.

Administration officials planned to criticize the cuts in appearances with those affected by them; Education Secretary Arne Duncan, for instance, planned to appear with school leaders who faced a leaner budget.

"Well, no one can think that that's been a success for the president," said Mitt Romney, Obama's unsuccessful rival in November's election. "He didn't think the sequester would happen. It is happening."

Obama and the Republicans have been fighting over federal spending since the opposition party regained control of the House of Representatives in the 2010 midterm elections. The budget cuts were designed in 2011 to be so ruthless that both sides would be forced to find a better deal, but they haven't despite two years to find a compromise.

The $85 billion in cuts apply to the remainder of the 2013 fiscal year, which ends Sept. 30. But without a deal they will continue slashing government spending by about $1 trillion more over a 10-year period.

McConnell spoke to CNN's "State of the Union." Boehner was interviewed on NBC's "Meet the Press." Sperling appeared on ABC's "This Week," NBC and CNN. Ayotte appeared on ABC. Graham spoke with CBS' "Face the Nation." Romney was a guest on "Fox News Sunday."

Kenyans pray for peace on day before elections

NAIROBI, Kenya (AP) ? Five years after more than 1,000 people were killed in election-related violence, Kenyans on Monday will begin casting votes in a nationwide election seen as the country's most important ? and complicated ? in its 50-year history.

Clerics across Kenya gave sermons dedicated to peace on Sunday, and urged the country to prove wrong the "prophets of doom" who predict violence.

A barrier to a peaceful vote is that the country faces so many potential triggers of violence: A secessionist group on the coast is threatening attacks; Somali militants could launch assaults on voters, especially near the Kenya-Somalia border; and the tribes of the top two presidential candidates have a long history of tense relations.

In addition, 47 new governor races are being held, increasing the chances of electoral problems at the local level.

Perhaps most importantly, Uhuru Kenyatta, one of two top candidates for president, faces charges at the International Criminal Court for orchestrating the 2007-08 postelection violence. If he wins, the U.S. and Europe could scale back relations with Kenya, and Kenyatta may have to spend a significant portion of his presidency at The Hague.

Kenyatta's running mate, William Ruto, also faces charges at the ICC.

Kenyatta, a Kikuyu who is the son of Kenya's founding president, faces Raila Odinga, a Luo whose father was the country's first vice president. Polls show the two in a close race, with support for each in the mid-40-percent range. Eight candidates are running for president, making it likely Odinga and Kenyatta will be matched up in an April run-off, when tensions could be even higher.

At the Nairobi Chapel, an evangelical church in the capital, three pastors took turns Sunday praising the attributes of some tribes, drawing cheers from the congregation. The Kikuyus were praised for being entrepreneurial, the Luos for valuing education, and the Kalenjins ? Ruto's tribe ? for their loyalty.

"Tomorrow we celebrate our cultural diversity as a nation," Nick Korir said in his sermon. "A lot of things unite us as a church. A lot of things unite us as a country."

In the weeks leading up to Monday's vote, described by Odinga as the most consequential since independence from the British in 1963, peace activists and clerics have been praying that this time the election is peaceful despite lingering tensions.

Odinga's acrimonious loss to President Mwai Kibaki in 2007 triggered violence that ended only after the international community stepped in to mediate. Odinga was named prime minister in a coalition government led by Kibaki, with Kenyatta named deputy prime minister.

The candidates held their final rallies Saturday, a day of political attacks and denials following published comments attributed to Odinga that election violence could be worse than 2007-08 if the vote is rigged. On Sunday church leaders asked their congregations to disappoint those who suspect there will be violence.

"We ask you to shame all prophets of doom," a cleric at an evangelical church in Nairobi called Mavuno told a packed congregation. "This is a country we are all proud of despite the divisions that people talk about. There is a Kenya after tomorrow."

Some 99,000 police officers will be on duty during an election in which some 14 million people are expected to vote. Kenyans will also be electing new lawmakers, governors and other officials.

Kenyatta, 51, the son of Jomo Kenyatta, the country's founding president, is one of the country's wealthiest men. He studied at Amherst College in the U.S. before returning home to become a businessman and later his father's political heir.

In 2011 Forbes magazine listed him as the wealthiest Kenyan, worth at least $500 million, although he was dropped from a subsequent list because his personal wealth was hard to separate from that of his close relatives. The Kenyattas are said to own hundreds of thousands of acres of prime land across the country, a controversial point in a nation where millions do not own even a small plot of land.

Gladwell Otieno, a Kenyan who runs a think tank called The Africa Center for Open Governance, said it would "be difficult for (Kenyatta) to claim that he can do much" to tackle Kenya's historical land problem. But despite the baggage of wealth and the ICC charges, Kenyatta's team has done a good job of marketing him as "a youthful candidate" of hope, Otieno said.

"Our main concern has been the fact that he is indicted at the ICC," Otieno said. "A government led by him would immediately be paralyzed."

Odinga, 68, who has been prime minister since 2008, believes he was cheated out of victory in the last election. Odinga's refusal to accept the results of the 2007 election helped fuel tribal tensions, with many here seeing Kibaki's win as another example of the Kikuyu's overly broad influence.

A win by Odinga would make him the country's first Luo president, a feat never accomplished by his father, Oginga Odinga, who was Kenya's first vice president and himself a hero of the anti-colonial movement. The elder Odinga fell out with Jomo Kenyatta, Kenya's first president, straining Kikuyu-Luo relations for decades.

In a rally Friday in Kisumu, Odinga's hometown and the biggest Luo-dominated city, Odinga repeatedly used words like "freedom" and "change" to emphasize the epochal moment it would be for his people if he wins.

"Be prepared for freedom," he said. "This country is at the verge of total liberation."

And justice for all? Hardly.

It tells the story of a terrible crime compounded by a grave injustice that's been remedied, but only in part, so it's impossible to have a single or simple response to the movie.

What sets this film apart from previous efforts to document the story is that Jackson and Walsh financed a private investigative team with legal and forensic experts who re-examined old evidence, conducted new interviews and found new witnesses.

Happy, sad, inspiring, infuriating, right and terribly wrong, all at the same time.

Berg's film is as much an indictment of the state of Arkansas' legal system as it is the prosecution.

Berg's film helps illuminate a case that should certainly be the shame of the state of Arkansas, and perhaps the criminal justice system of the entire United States.

West of Memphis is the real vindication - even if it is incomplete.

In the end it won't matter if this is the fourth movie about the same subject; you can never learn its lessons often enough.

West of Memphis caps off the Paradise Lost/West Memphis Three saga with a line up full of perpetrators including the media, the West Memphis PD, the legal establishment and suspect gift wrapped with a smoking gun.

Berg lays out her case with the logic of a first-rate prosecutor and the theatricality of a born storyteller.

Good to know these guys are finally free.

West Of Memphis isn't afraid to show us the graphic nature of the crime and more importantly, it isn't afraid to point fingers at those whose actions deserve to be questioned.

It's reasonable to question whether the time and resources poured into this project might have been better spent highlighting a miscarriage of American justice that nobody knows about rather than one that enjoys a celebrity profile.

The most intense, nail-bitingly suspenseful thriller franchise "from the dark side" these days is not the product of a screenwriter's imagination.

The most intriguing and worthy aspect of this accomplished documentary is that it never lets anyone forget the biggest tragedy of the many threaded through this story - the helpless children who never deserved the brutal fate handed to them.

Somewhere along this narrative's mammoth timeline, examining the construction of modern social heroes became more important than the memories of three little boys.

Together with the rich material comprising interviews with family and friends, the footage shot in the various court rooms and at the crime scene is riveting

A powerful, touching and very infuriating documentary, although Berlinger and Sinofsky got there first and did it best

Amy Berg's West of Memphis does bring new information to light, which is why this somewhat procedural feature is so important.

In all, the director has assembled a powerful film, but the celebrity component feels rather unnecessary.

A frankly extraordinary document about the three innocent children who were murdered in West Memphis, Arkansas and the three innocent teenagers who spent 18 years in prison for the crime.

(Director Amy) Berg's doc is gripping, often infuriating, but in the end hopeful about the ability of truth and innocence to prevail thanks to the efforts of those who strive against all obstacles to uphold them.
